WEBSITE SUBCONTRACTOR AGREEMENT
By submitting the online subcontractor registration form, application form, acceptance form, or engaging in any work instruction issued by Myall Enterprise Limited trading as Dalizamawu (“the Company”), the Subcontractor confirms acceptance of and agreement to these Terms and Conditions. Submission of the form constitutes a legally binding agreement between the parties.
1. Definitions
In this Agreement:
“Company” means Myall Enterprise Limited trading as Dalizamawu.
“Subcontractor” means the individual, sole trader, partnership, or company submitting the online form or undertaking services for the Company.
“Agreement” means these Terms and Conditions together with any separately negotiated work order, quotation, purchase order, project instruction, or written communication issued by the Company.
“Client” means the end customer or contracting party receiving services from the Company.
2. Acceptance of Agreement
2.1 By submitting the Company’s online form, the Subcontractor: Confirms they have read and understood these Terms and Conditions; Agrees to be legally bound by them; Confirms they have authority to enter into this Agreement.
2.2 Electronic submission, digital acceptance, email confirmation, or commencement of work shall constitute acceptance of this Agreement.
3. Separate Negotiated Contracts
3.1 Each project, assignment, or work instruction shall be treated as a separately negotiated agreement.
3.2 No minimum volume of work, exclusivity, or ongoing engagement is guaranteed unless expressly agreed in writing.
3.3 The Company reserves the right to appoint alternative subcontractors at its discretion.
4. Independent Contractor Status
4.1 The Subcontractor acts as an independent contractor and not as an employee, worker, agent, or partner of the Company.
4.2 The Subcontractor shall be solely responsible for: Taxes and National Insurance contributions; VAT obligations; Pension obligations; Insurance obligations; and Compliance with applicable employment and tax legislation.
5. Performance of Services
5.1 The Subcontractor shall: Carry out services with reasonable skill, care, and professionalism; Comply with all applicable laws and regulations; Follow lawful instructions issued by the Company; Maintain all required licences, training, and certifications.
5.2 The Subcontractor shall remain responsible for the conduct of its employees, agents, and representatives.
6. Payment Terms
6.1 Payment terms for each assignment shall be separately agreed in writing.
6.2 The Company may withhold payment where: Work is incomplete or defective; Documentation is missing; There has been a breach of this Agreement.
7. Confidentiality
7.1 The Subcontractor shall keep confidential all information relating to: The Company; Its operations; Clients; Pricing; Business methods; and Commercial information.
7.2 Confidential information shall not be disclosed without prior written consent except where required by law.
8. Indemnification
8.1 The Subcontractor shall fully indemnify and hold harmless Myall Enterprise Limited trading as Dalizamawu, its directors, employees, agents, and clients against all claims, liabilities, losses, damages, penalties, costs, and expenses (including legal costs) arising from: Breach of this Agreement; Negligence or misconduct of the Subcontractor; Injury, death, or property damage caused by the Subcontractor; Failure to comply with legal obligations; Tax or employment-related claims; Intellectual property infringement; Acts or omissions of the Subcontractor or its personnel.
8.2 The Subcontractor shall maintain appropriate insurance cover, including public liability insurance where applicable, and provide evidence upon request.
9. Limitation of Liability
9.1 The Company shall not be liable for indirect or consequential losses including loss of profit, business opportunity, or reputation.
9.2 Nothing in this Agreement excludes liability where exclusion is prohibited by law.
10. Termination
10.1 The Company may terminate this Agreement or any assignment immediately where the Subcontractor: Breaches these Terms; Performs work unsatisfactorily; Fails to comply with health and safety requirements; Acts unlawfully or unprofessionally; Becomes insolvent.
10.2 Upon termination, the Subcontractor shall immediately: Stop using Company information; Return Company property; Cease representing themselves as connected to the Company.
11. Data Protection
The Subcontractor agrees to comply with all applicable UK data protection legislation including the UK GDPR and Data Protection Act 2018.
12. Governing Law
This Agreement shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
13. Entire Agreement
These Terms and Conditions together with any separately negotiated work instruction or written agreement constitute the entire agreement between the parties.
Acceptance
By submitting the online form, the Subcontractor confirms acceptance of these Terms and Conditions and agrees that submission constitutes a legally binding agreement with: Myall Enterprise Limited trading as Dalizamawu, Registered Office: Manchester, United Kingdom.
